Terms of Service

These Terms of Service ("Terms") govern your use of the Proactive Comment Tracker browser extension and web application (together, the "Service"), operated under the Proactive Comment Tracker brand ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.

1. What Proactive Comment Tracker Does

Proactive Comment Tracker lets you capture and log comments you have written on supported social media platforms, currently LinkedIn, TikTok, Instagram, and X, along with associated metadata such as platform, handle, tags, and, where you request it, publicly visible engagement statistics. Proactive Comment Tracker does not draft content on your behalf, does not automatically post anything, and does not perform posting actions on a social media platform for you.

2. Your Account

• You must provide accurate information when creating an account.
• You are responsible for maintaining the confidentiality of your password.
• You are responsible for activity that occurs under your account.
• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

3. Acceptable Use

You agree not to:

• Use the Service to violate a third-party platform's terms or applicable law.
• Use the Service to harass, defame, or violate the rights of others.
• Attempt to reverse-engineer, scrape, disrupt, or interfere with the Service's operation, except to the extent such restriction is prohibited by applicable law.
• Use the Service for any unlawful purpose.

4. Data Accuracy Disclaimer

Proactive Comment Tracker may display engagement statistics such as likes and replies as read from public-facing content on pages you visit when you request a stats refresh. This data is provided "as is" and is not guaranteed to be accurate, complete, or currently up to date. Social platforms may change their page structure or display data inconsistently, and detection may occasionally fail or capture information incorrectly. You should not rely solely on Proactive Comment Tracker's reporting for decisions with material financial, legal, or employment consequences without independent verification.

5. Intellectual Property

• You retain your rights in the comment text and content you log through the Service, subject to any rights held by third parties or social platforms.
• We retain all rights in the Proactive Comment Tracker software, brand, design, and Service.
• You grant us a limited license to store, process, and transmit content and data you submit as necessary to provide, secure, maintain, and support the Service, consistent with our Privacy Policy.

6. Trial, Payment & Access

• New accounts may receive a 5-day trial of paid features, subject to the functionality presented in the Service at the time of signup.
• A one-time $19 payment unlocks Full History and Export access for your account for as long as the Service continues to operate. This is a one-time payment, not a recurring subscription, and you will not be billed again for that purchase.
• Payments are processed by Stripe through Stripe's hosted checkout. We do not receive or store your full payment-card details.
• Fees are non-refundable except where required by applicable law. Discontinuation of the Service does not, by itself, entitle you to a refund except where required by applicable law.
• You are responsible for applicable taxes, if any.
• We do not guarantee that the Service will operate indefinitely. We may modify, suspend, or discontinue all or part of the Service. We will make reasonable efforts to provide advance notice of a full shutdown when practicable.
• Free or trial functionality is available only while and as offered by the Service and may change over time.

For account, payment, or product-support questions, contact hello@proactivecommenttracker.com. We will make reasonable efforts to respond to support requests in a timely manner.

8. Termination and Account Deletion

We may suspend or terminate an account for violation of these Terms or when reasonably necessary to protect the Service, users, or third parties. You may request account deletion by contacting hello@proactivecommenttracker.com. Handling and deletion of account data is governed by our Privacy Policy and applicable law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT DATA DISPLAYED BY THE SERVICE, INCLUDING ENGAGEMENT STATISTICS, WILL ALWAYS BE ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROACTIVE COMMENT TRACKER AND ITS OPERATORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Proactive Comment Tracker and its operators from third-party claims, damages, liabilities, and reasonable expenses arising from your misuse of the Service, violation of these Terms, or violation of a third party's rights.

12. Third-Party Platforms and Services

Proactive Comment Tracker is not affiliated with, endorsed by, or sponsored by LinkedIn, TikTok, Instagram, X, or their respective parent companies. Your use of those platforms is governed by their own terms. The Service may also rely on third-party providers, including Stripe for payment processing, and those providers may have their own terms and policies.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to communicate them to users. Continued use of the Service after revised Terms take effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.

14. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.
